Box 12c V - NQSO and Compensation income

Hello, I'm doing my taxes and sold some NQSO last year. My W-2 shows stock opt income of $13254, however, when I did calculations for schedule D to report the sale, I come up with a compensation income of $9602. I cannot figure out where the extra 3600 disappeared to. Do these 2 numbers have to be the same?
