Box 12c v and Calculated compensation income does not match

In box 12c v (NQSO income) on my W-2 is 13254. However, when I went to report the sale, the compensation income calculated is only 9602. Should these two numbers match up. I cannot figure out how to account for the missing 3600. Please help. My head hurts!
