My partner and his wife want to dissolve our s-corp in the state of missouri. The shares are devided 45,45 and 10. I have 45, my partner has 45 and his wife has 10. I would like to maintain the corporation rather than going throught the exspense to start a new one. My question is, can my partner and his wife dissolve the s-corp without my approval? There are really no assets.

You need to work on your wife. I believe that in general if over 1/2 the shareholders approve something then you are stuck with it. Her 10% would give you 55%. Find a medium ground. Buy one or both them out for the amount that you will save by not having to start a new corporation.
