Capital Gains Question Related To Stock Sale

I own stock in a company that is going through a reorganization. As part of that reorganization, stockholders are being offered a specific price for each stock held.

If I agree to accept this offer, for securities I've held less than a year, will this transaction be taxed as a short-term capital gain (even though I did not actively seek to sell these securities).

Thanks in advance for any insight anyone can provide.
