Inactive s-corp

Hi, I started an s-corp in NJ in Jan 2010. There was no activity, no sales, no assets. All I had (still have nothing)was some start-up expense. (Also I'm Planning to dissolve this corp now) I have finished my federal 1120S successfully.

I'm preparing my CBT-100S for NJ. On my 1120S I did not owe anything to the IRS, just distributed my start-up expense onto my K-1, which will be reflected on my 1040 as a deduction. But looks like I will owe $500 to the state of NJ, a Minimum tax liability, for just holding the corp in this state, inspite of 0's in income. My question is :

Is there a way to reduce my min. tax to NJ ?

Will the start-up cost play any role in either reducing the tax on CBT-100S, or in my 1040-NJ. (like in 1040)

Since I haven't already dissolved the corp(before the end of 2010), will I end up paying another $500 for 2011 ? Or is there a way to dissolve the corp now and file the cbt-100s for the whole life of the corp - Jan 2010- Mar-2011 ??

Any help is appreciated.

Thanks
TC
