What are the New York State Annual Filing Fees for a 2 Member NY LLC?

I had formed a 2 member NY Limited Liability Company. I now have to file the partnership tax return and was wondering how much I have to pay the State of NewYork for the Filing fees?

What are the New York State Annual Filing Fees for a 2 Member NY LLC?

There have been some significant changes in the NY State filing fee for 2007 as far as the LLC's are concerned.

In general, "every domestic or foreign LLC or LLP is required to file a New York State partnership return and if that entity has any income, gain,loss, or deduction from New York sources must pay a New York State filing fee."

The amount of the filing fee is $50 multiplied by the total number of members or partners in the LLC or LLP. However, the minimum fee is $325 or with the maximum of $10,000. This represents a significant reduction from prior year fees which was $100 multiplied by the total number of members or partners in the LLC or LLP, with a minimum annual fee of $500 and a maximum annual fee of $25,000.

In sharp contrast with other states, "a domestic or foreign LLC is not subject to the filing fee if it does not have any income, gain, loss, or deduction from New York sources."

Thus, in your case, where you have a 2 partner member LLC, your filing fee would be the greater of $50 x 2 or the minimum fee of $325! You will therefore be paying $325 in 2007!
