ABC LLC has 3 members and this company filed tax return form 1065.
In 2014, the inital capital is $1.00 per unit of LLC interest. ABC LLC has an asset that has appreciated ,thus logically the value of LLC interest per unit should has increased in value.
In 2017, ABC LLC decided to invite new members to raise capital, however 2 members (currently holding total of 90% of LLC interest ) decided
to value $1.00 per unit of LLC interest and company resolution passed .
Is this allowable ?
