NJ LLC how to change the members.

Hi TaxGuru,

I registered a new LLC in NJ in Aug '08 with me and my friend being the two members of the LLC.After that my freind resigned in writing by a letter to me on the very same day.

I would like to add my wife as being the member of the LLC instead , I would like to know how to have the certificate of formation amended to reflect the change in membership(forms etc.).

Do I also have to notify the IRS regarding the change of membership? Is there a window we are looking at for the current year before which we have to make those changes and notify the IRS.

Your advice in this regard would be greatly appreciated.

FYI I will have a net income of $25000 for the current year.
