Another NJ S-Corp question

I had a small S-Corp. in NJ. In 2004, I made it inactive and moved out of state. I recv. a letter in 2008 demanding CBT filings for the past 4 years or a formal dissolution(in which I would have to pay the 4 years of CBT plus interest/penalties.) A local CPA(AZ.)advised me to ignore as 1: There is no corp. 2. There are no assets. 3. They cannot come after me personally. 4. I'm out of state. So why am I worried. What are the potential consequences or will this just go away after the usual threats. I've since recv. another letter demanding formal resolution or commencement of collection of outstanding liabilities. I'm unemployed and-well-broke. What say you..? Thanks in advance!
