Disolve S-Corp

Hi Taxguru,
I have a S-corp from delaware,
I have no income from it , I had some expenses the year when I started in 2006, Till present all I am doing doing is filing for Taxes

I wanted to disolve it
what is the procedure so that I can do it myself , instead of doing it from an agent
I belive I have not paid any Franchise fee also
and Is there any penalilty attached to it

any help is appreciated
