I want to dissolve my S corp in the state of Florida. The forms I got from Sunbiz.org seem pretty straightforward (I am the only shareholder) but a business advisor suggested I check to see if the assets should be "sold" to me (which makes no sense since I bought the business 5 years ago, not knowing until the last minute I was buying a C corp; I later switched to an S corp).

The assets are essentially all intellectual property: art designs that are used for crafts, and a trade name that is recognizable. I do have a notarized Transfer of Trade Name and Intellectual Property document from the former owner to me (not the corp), and the sale included a copyright assignment.

I want to continue in business as a sole proprietor (essentially how I've been operating these past years) so it is important that I know I can still use these designs and the name. Do you think it's alright to dissolve the S corp with the above named document, or should I do another copyright assignment from the corp to me, and transfer of trade name from the corp to me?
