Procedures for Dissolving/Withdrawing a NJ Profit Corporation.

The following are the forms required to dissolve a New Jersey For Profit Corporation. There are 3 forms listed below that must be completed in full for a Domestic New Jersey Corporations in order to be formally dissolved in the State of New Jersey. These are as follows:

1. Form C-159D- Certificate of Dissolution for a domestic profit corporation.

2. Form A-5052-TC-Estimated Final return with a separate payment for any taxes due.

3. Form A5088-TC- A Request for a Tax Clearance Certificate.

There is a total of a $120.00 fee that is required for the above dissolution and this consists of a fee in the amount of $95.00 for the dissolution fee and $25 towards the tax clearance certificate application fee.
